Nonprofit Corporate Organizations: Theory and Practice Aspects

In connection with the adoption of Federal Law No. 99-FZ of May 5, 2014, legal entities began to be divided into corporate and unitary. An exhaustive list of non-profit organizations has appeared in the Civil Code of the Russian Federation. The concept of the development of the civil legislation of the Russian Federation set the task of giving a dominant role to the general norms of the Civil Code in relation to special legislation on legal entities of certain organizational and legal forms. In the course of the research, the author comes to the conclusion that the division of legal entities into corporate and unitary on formal grounds is untenable. The legislator failed to fully implement the tasks that were approved by the Development Concept, in particular, in strengthening the role of the general norms of the Civil Code in the regulation of corporate legal relations. The author comes to the conclusion that it is necessary to optimize the current legislation.
