Vicarious Liability of Controlling Persons in the Event of Bankruptcy of a Legal Entity Caused by Loss Transactions

The final work analyzes the civil offense in the form of bringing a legal entity to bankruptcy by making unprofitable transactions as a special form of tort. By means of a systematic analysis of legal norms and trends in law enforcement practice, the possibilities of filling the gaps in legislative regulation for the purpose of reducing the percentage of unsatisfied claims of the debtor's creditors following the completion of the bankruptcy procedure are investigated. The paper substantiates the ineffectiveness of tightening the rules on subsidiary liability and suggests possible ways to develop the rules on subsidiary liability and property isolation of a legal entity, aimed at increasing the ability of a legal entity to independently meet its obligations.
