Problems of Civil Remedies toProtect Shareholders' Rights in case of Forteiture of Shares

The research is devoted to the analysis of problems of application of methods of protection of shareholders ' rights in case of loss of rights to shares. According to statistics ,the category of disputes related to ownership of shares and interests is the most common among corporate disputes. The relevance of the dissertation research is the lack of effectiveness of universal methods of protection in order to protect the rights of shareholders, in connection with which at the legislative level were fixed special ways to protect the rights of shareholders: the reclamation of shares from illegal possession, the restoration of data accounting rights to shares, the restoration of corporate control. Among the universal ways to protect the rights of shareholders, we have identified the methods of protection applicable to the loss of rights to shares: recognition of the right, compensation for losses, invalidation of the transaction, invalidation of the decision of the meeting. We have analyzed these methods to protect the rights of shareholders, identified problems of their application in practice.
