Course Syllabus
Abstract
This course provides an advanced, practice-oriented exploration of Anglo-American contract law, focusing on the linguistic mechanics, structural architecture, and risk-management instruments of transnational commercial agreements. The program bridges the gap between historical Common Law doctrines and modern international drafting practices.
Students explore the evolution of legal syntax from Anglo-Norman roots to the modern Plain English movement and analyze core Common Law doctrines.
Practice part of the course shifts focus to risk allocation and litigation avoidance through standard protective mechanisms. Students will gain deep insights into the judicial interpretation of "boilerplate" clauses under the contra proferentem rule.
Additionally, the course addresses private international law complexities, such as choice-of-law selection (dépeçage), jurisdictional conflicts, and the enforcement of international arbitration agreements. Through comparative analysis and real-world case studies, students will master the tools needed to draft cross-border contracts
Learning Objectives
- The primary objective of this course is to equip students with advanced theoretical knowledge and practical skills required to analyze, draft, and manage risk within English-language transnational contracts in accordance with Common Law standards.
